These Terms and Conditions (“Agreement”) govern the relationship between Sitedly and the client who purchases or subscribes to our services.

By engaging with Sitedly’s services, you acknowledge that you have read, understood, and agreed to these terms.

1. Ownership and Intellectual Property

1.1. All website designs, templates, code, graphics, text, and other digital assets created or provided by Sitedly remain the exclusive property of Sitedly.
1.2. The Client does not own any intellectual property rights, copyrights, or proprietary interests in the website, template, design files, or related digital content.
1.3. The Client is granted a limited, non-transferable license to use the website as long as their account remains active and in good standing.
1.4. Upon cancellation or termination of this Agreement, the Client’s license to use the website and its related content will be immediately revoked.

2. Domain and Digital Property

2.1. All domains, hosting accounts, and digital infrastructure used to operate the website are owned and managed exclusively by Sitedly.
2.2. The Client does not own or control the domain, hosting, or any associated online accounts.
2.3. The Client will not have direct access to the website’s backend, hosting, source files, or any administrative control panels.

3. Website Access and Modifications

3.1. The Client’s access to the website is limited to the front-end view only.
3.2. The Client may not edit, modify, duplicate, or alter the website or template outside of the customization options expressly offered by Sitedly.
3.3. Any unauthorized modifications or interference with the website’s operation constitute a breach of this Agreement and may result in suspension or termination of services.

4. Billing and Payments

4.1. The Client agrees to a recurring billing cycle that occurs on the 1st day of each month.
4.2. Payments are automatically charged to the payment method on file unless the Client provides written notice of cancellation in accordance with Section 7.
4.3. Failure to make payment within 7 days of the billing date may result in service suspension or termination.

5. Term Commitment

5.1. The Client agrees to a one (1) year minimum service commitment beginning on the date of initial activation.
5.2. After the first year, the agreement automatically converts to a month-to-month subscription until canceled in accordance with Section 7.
5.3. During the one-year commitment period, the Client remains responsible for all payments, even if they choose to stop using the service early.

6. Renewal and Continuation

6.1. After the initial one-year term, billing continues automatically on a monthly basis.
6.2. The Client may continue using the website under the same terms until they properly cancel their subscription.

7. Termination and Cancellation

7.1. This Agreement may only be terminated by contacting Sitedly’s support team directly at: info@sitedly.com.
7.2. Cancellations are not considered valid unless confirmed in writing by Sitedly.
7.3. Upon termination, the Client’s website will be taken offline, and all access to the site and related digital assets will be revoked.
7.4. No refunds will be issued for any unused portion of the billing cycle at the time of termination.

8. Limitation of Liability

8.1. Sitedly is not liable for any indirect, incidental, or consequential damages arising from the use or inability to use the website or related services.
8.2. Sitedly does not guarantee uninterrupted or error-free website performance but will make reasonable efforts to maintain uptime and quality of service.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of your region, without regard to its conflict of law principles.
